General Solitary Capital DBA Solitary Rentals ("Solitary Rentals") and the renting and/or purchasing party ("Customer") identified in the applicable Solitary Rentals quotation, order, acknowledgment, invoice, or any other contract or agreement between Solitary Rentals and Customer (individually and collectively referred to herein as "Contract") agree to be bound by these Terms and Conditions of Rental and Sale ("Terms") for the materials, goods, and/or products (collectively, the "Goods") rented or sold to Customer pursuant to such Contract. Customer hereby agrees that it will be bound by these Terms and be responsible for orders placed on its behalf by an event coordinator, planner, representative, or agent of Customer, for which such Customer is identified on the Contract, as if such Customer placed such order directly with Solitary Rentals.
Acceptance/Sole Terms The provisions set forth herein, together with the provisions of the Contract, constitute all the terms and conditions for the relationship between the Customer and Solitary Rentals with regard to the Goods. Solitary Rentals’ acceptance and shipment of the Customer’s order is expressly conditional on the Customer’s assent to these Terms. Any and all terms, conditions, or provisions specified in any quotation or otherwise (whether oral, typed, written, or printed) that in any way change, modify, amplify, differ from, or add to these Terms or Solitary Rentals’ Contract are null and void and of no effect.
Price and Payment Payment is due in United States dollars on or before the date of delivery listed on the Contract unless otherwise specified. Prices stated are subject to change, and the Customer agrees to additional charges for late returns, damages, or unreturned items. Florida sales tax and applicable fees will be charged unless the Customer provides appropriate exemption documentation.
Acceptance of Goods, Delivery, and Transportation Customer shall inspect the Goods at delivery and notify Solitary Rentals immediately of any defects, shortages, or issues. Solitary Rentals is not responsible for obtaining permits or providing access to delivery or retrieval locations.
Title and Risk of Loss Title to rented Goods remains with Solitary Rentals. The title and risk of loss for purchased Goods transfer to the Customer upon delivery.
No Warranty Solitary Rentals provides Goods "as is" with no express or implied warranty, including merchantability or fitness for a particular purpose.
Limitation of Liability Solitary Rentals’ liability is limited to repair, replacement, or refund for defective Goods at its discretion. The Customer agrees that no other remedy will apply.
Disclaimer of Consequential and Incidental Damages Solitary Rentals is not liable for consequential, incidental, or punitive damages, including lost profits, use, or production. The Customer indemnifies and holds Solitary Rentals harmless against such claims.
No Insurance Solitary Rentals does not provide insurance coverage for Goods. The Customer assumes full responsibility for any damage, theft, or loss of Goods.
Taxes The Customer is responsible for all applicable Florida taxes, fees, or surcharges associated with the rental or purchase of Goods.
Packaging Goods will be packaged per Solitary Rentals’ standard practices unless otherwise specified. Special packaging requests may incur additional charges.
Delays Solitary Rentals is not responsible for delays caused by circumstances beyond its control, including natural disasters, strikes, or government actions.
Termination, Cancellation, and Modification The Customer may cancel orders up to 48 hours before delivery without penalty. Cancellations within 24 hours of delivery will incur a fee equal to 100% of the Contract amount.
Damage, Destruction, and Loss The Customer is responsible for the repair or replacement costs of damaged, destroyed, or lost Goods.
Restocking Fee A restocking fee of 50% of the rental cost applies for deletions or reductions made one day prior to delivery.
Return of Rented Goods The Customer must return all rented Goods in the same condition and packaging as received. Late or improperly returned items may incur additional charges.
No Return of Purchased Goods All sales are final for purchased Goods, including disposable items.
Indemnification The Customer indemnifies and holds Solitary Rentals harmless from any liability, claims, or damages arising from the use of Goods.
Intellectual Property All intellectual property related to Solitary Rentals remains the property of Solitary Rentals and may not be used without written consent.
No Waiver Failure of Solitary Rentals to enforce any term does not constitute a waiver of its rights.
Severability If any provision of these Terms is invalid, the remaining provisions remain enforceable.
Assignment The Customer may not assign the Contract without prior written consent from Solitary Rentals.
Governing Law and Venue This agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of the county where Solitary Rentals operates.
Entire Agreement These Terms and the Contract constitute the entire agreement between Solitary Rentals and the Customer.
Dye Lot Variances Color or pattern variances between batches or dye lots of products may occur, and no refunds or exchanges will be offered for such issues.
Substitutions If a requested product becomes unavailable, Solitary Rentals reserves the right to substitute comparable products.
Rental Item Wear Goods may show ordinary wear and tear due to frequent rentals and cleaning. New or like-new quality is not guaranteed.
